FLAT FEE RETAINER AGREEMENT - INITIAL CASE EVALUATION

This Flat Fee Legal Services Agreement is between The Barry Law Office, Ltd. and the person electronically signing below (“Client”).

  1. Client hires The Barry Law Office, Ltd. to provide legal services for the limited matter described below:
  2. Matter Description: Pre-suit evaluation of potential consumer claims, including reviewing facts, interpreting evidence, and performing legal analysis
  3. The scope of representation is limited to the matter described above. The Barry Law Office, Ltd. is not being hired to provide any legal services outside that matter unless Client and The Barry Law Office, Ltd. agree in writing.
  4. Client agrees to pay a flat fee of $5,000 for the legal services described in this Agreement (“flat fee”).
  5. Client understands and agrees that this is a flat fee under Rule 1.5(b)(1) of the Minnesota Rules of Professional Conduct.
  6. Client understands and agrees that the flat fee will be the property of The Barry Law Office, Ltd. upon payment.
  7. Client understands and agrees that the flat fee will not be deposited into or held in a client trust account.
  8. Client understands and agrees that the flat fee is not based on the number of hours worked and that The Barry Law Office, Ltd. will not bill Client by the hour for the services covered by this Agreement.
  9. Client understands that Client may terminate the representation at any time.
  10. Client understands that The Barry Law Office, Ltd. may terminate the representation as permitted by the Minnesota Rules of Professional Conduct and any applicable court rule or court order.
  11. If the attorney-client relationship ends before the flat fee is fully earned, Client may be entitled to a refund of the unearned portion of the flat fee.
  12. In determining whether any portion of the flat fee has been earned, The Barry Law Office, Ltd. may consider the work performed, the time and labor required, the novelty and difficulty of the issues, the skill required, the amount involved, the results obtained, the time limitations imposed by the client or circumstances, and the other factors identified in Rule 1.5(a) of the Minnesota Rules of Professional Conduct.
  13. The flat fee does not include case costs or expenses which are the responsibility of the Client.
  14. Unless expressly included above, Client remains responsible for case-related costs and expenses, including filing fees, service fees, court reporter fees, transcript fees, records charges, expert fees, mediator fees, postage, delivery charges, travel expenses, and other expenses reasonably incurred for the matter.
  15. The Barry Law Office, Ltd. has made no promise or guarantee about the outcome of the matter.
  16. If, after evaluating Client’s matter, The Barry Law Office, Ltd. determines that Client may have a viable claim suitable for representation on a contingency-fee basis, including a claim that may allow recovery of attorneys’ fees from an opposing party by statute, contract, court rule, or other applicable law, Client and The Barry Law Office, Ltd. may enter into a new and separate written contingency-fee agreement. Any contingency-fee representation will exist only if both Client and The Barry Law Office, Ltd. sign that separate written agreement, and this Agreement does not create any contingency-fee arrangement or obligation by The Barry Law Office, Ltd. to pursue the matter on a contingency-fee basis.
  17. Client agrees to provide truthful and complete information, cooperate with the firm, promptly respond to requests for information, keep contact information current, preserve relevant documents and evidence, and notify the firm immediately of any important developments.
  18. Client authorizes The Barry Law Office, Ltd. to communicate by email, telephone, text message, electronic signature platform, client portal, online payment system, and other electronic means.
  19. Client agrees that this Agreement may be signed electronically.
  20. Client agrees that Client’s electronic signature, checkbox acceptance, typed name, online payment, or other electronic confirmation showing assent has the same force and effect as a handwritten signature.
  21. Client agrees that this Agreement becomes effective only after Client has paid the full flat fee required by this Agreement and The Barry Law Office, Ltd. has accepted the Agreement. Submission of this Agreement or payment by Client does not, by itself, create an attorney-client relationship unless and until The Barry Law Office, Ltd. accepts the Agreement after completing any necessary conflict review and matter evaluation.
  22. Client agrees to the Flat Fee Legal Services Agreement above and agrees that the flat fee is the property of The Barry Law Office, Ltd. upon payment, will not be deposited into or held in a client trust account, is not billed by the hour, and remains subject to refund of any unearned portion if the attorney-client relationship ends before the flat fee is fully earned. I agree to use electronic records and electronic signatures for this Agreement. I have received a complete copy of this agreement.
  23. Any dispute, claim, or controversy arising out of or relating to fees charged under this Retainer Agreement shall be resolved exclusively by final, binding, and mandatory arbitration administered by the American Arbitration Association.   24. This Agreement is made in Minnesota for legal services to be provided in Minnesota, and shall be governed by and construed in accordance with Minnesota law. Any action, arbitration, litigation, or other proceeding arising out of or relating to this Agreement shall take place exclusively in Hennepin County, Minnesota.

By signing below, Client confirms that Client has read this Agreement, understands it, agrees to its terms, and authorizes The Barry Law Office, Ltd. to begin work after conflict review, acceptance of the matter, and receipt of the flat fee from Client.
